Lois W. Gakumo

Lois W. Gakumo is an Associate at the firm. She is a graduate of the University of Nairobi and the Kenya School of Law and holds a Bachelor of Laws degree and a Diploma in Law. Miss Gakumo was admitted to the Roll of Advocates of the High Court of Kenya in 2004. She is also a Certified Public Secretary (Kenya), an Associate of the Chartered Institute of Arbitrators, a Commissioner for Oaths and a Notary Public. She began her legal practice with Muthoga Gaturu & Co. Advocates and thereafter worked as an associate in Makhecha & Co. Advocates from January 2005 to July 2006 before moving to Ojiambo & Company Advocates. She also worked as a legal officer in Southern Credit Banking Corporation Ltd.

Miss Gakumo’s areas of specialization include experience in corporate and commercial law, particularly Capital Markets Regulations, incorporation of companies, registration of business names, due diligence exercises, advising on corporate compliance issues, preparation and perfection of commercial and security documents for banks and lending institutions; preparation of commercial agreements and corporate reorganization; company secretarial work including completing annual returns, attending to and filing resolutions, minute taking, preparation and filing of resolutions; real estate law such as preparation and registration of transfers and leases of land; preparation of security documents such as charges, mortgages and overseeing conveyancing transactions.

CG Mbugua

CG Mbugua is an Associate at the firm. He is a graduate of the University of Nairobi and the Kenya School of Law and holds a Bachelor of Laws degree and a Diploma in Law. He is in the Commercial and Corporate Practice Group and the Company Secretarial Services Practice Group of the Firm.

CG’s present practice comprises of corporate restructuring transactions including: capital raising and balance sheet restructuring; mergers, demergers and acquisitions; joint ventures and group company structures; strategic equity partners and private placement; public offers and listing; privatization and divestiture; issue of bonds/notes and assets backed securities; structuring of property funds; conversion of companies among others. He also advises clients on general corporate and commercial law including private shareholder arrangements, corporate governance matters, employment law, perfection of title over assets and licensing and regulatory issues.

He has advised a range of clients including listed companies, banks and financial institutions, insurance companies, fund managers, technology based companies and government owned entities. In the course of his practice, he has: conducted legal audits  and prepared legal opinions; assisted and advised clients in applications for approval and licensing from regulatory bodies; advised on business and transactional contracts; offered company secretarial support; reviewed borrowing security documentation; advised on employee share ownership plans; and advised on property development agreements.

Kimani Njane

Kimani Njane is an Associate at the Firm. He is a graduate of the University of Nairobi and holds a Bachelor of Laws degree and a Diploma in Law from the Kenya School of Law.  He is in the Commercial and Corporate Practice Group as well as the Company Secretarial Services Practice Group of the Firm.

He has advised various clients on joint ventures; capital raising transactions through entry of strategic investors, sale of assets, rights issue, private placements, issue of bonds/notes/debt instruments and assets backed securities; corporate re-organizations, demergers and separation of businesses; employment law; intellectual property protection; legislative drafting; registration and setting up of various business entities including incorporation of local (both public and private) and foreign companies; company secretarial services;  registration and establishment of trusts and non-governmental organization. He has also advised on and drafted various commercial agreements, advised on the privatization of some of the government Parastatals, conducted legal audits and prepared attendant reports and legal opinions.

Tabitha Mugure

Tabitha Mugure is an Associate at the firm. She is a graduate of the University of Nairobi and the Kenya School of Law and holds a Bachelor of Laws degree and a Diploma in Law. She is currently pursuing a professional course in company secretarial practice.

She practices in Corporate Commercial, Real Estate and Banking and Company Secretarial practice groups. Her present areas of practice comprise advising on privatization of Government services and operations, corporate re-organization, mergers and acquisitions, registration of trademarks, drafting and review of an extensive range of commercial contracts, acquisition of businesses, obtaining of regulatory licences in from various industry regulators, formation of a wide range of entities including companies, societies, partnerships and limited partnerships and undertaking legal due diligence exercises. She has also carried on legislative review of various areas of law including labour law, prepared legal opinions and advised on commercial agreements for a number of clients including various companies, partnerships and societies in various industries including ICT, microfinance, education, real estate, banking and insurance industries.

In the Real Estate and Banking practice group, Tabitha has been engaged in the preparation and registration of agreements, transfers, charges and leases of land under all the land regimes in Kenya. She has also advised on various development projects and been involved in the formulation and registration of legal documents in relation to real estate developments.

June Njoroge-Ngwele

June Njoroge-Ngwele is an Associate at the firm. She is a graduate of the Makerere University Uganda and the Kenya School of Law; she holds a Bachelor of Laws degree and a Diploma in Law. She was admitted to the Roll of Advocates of the High Court of Kenya on 20th December 2007.

She is also holds a Certificate in Insurance from the Chattered Insurance Institute of London. She has experience comprehensive experience in Conveyancing Matters which includes dealing with real estate and Banking as well as Estate Planning and Administration.

She has experience in preparation and perfection of securities for various corporate clients as well as incorporating Companies, registration of Societies & Business names, Equity buy-outs and Debt Recovery for various organisations and financial institutions.

Nelly Wamaitha

Nelly Wamaitha is an Associate at the firm. She holds a Bachelor of Laws degree from the University of Nairobi and a diploma in Law from the Kenya School of Law. She is in the Commercial and Corporate Practice and the Company Secretarial Services practice groups of the firm.

Nelly’s area of specialization is corporate commercial law and she advises a diverse range of clients including companies, partnerships, co-operative societies, societies, not-for profit organizations and parastatals. Her areas of practice include the provision of transactional legal advice, corporate finance, restructuring and reconstructions, mergers and acquisitions and drafting of commercial contracts and she is involved in carrying out legal due diligence exercises and preparing legal audit reports and legal opinions. She has been involved in advising joint ventures and collaborations, advising on conversions of entities, transfers of businesses and assets, making applications to regulators of the financial markets in Kenya, preparing financing agreements and debt instruments, advising microfinance institutions and venture capital companies and advising on entries of strategic investors.

She has advised in various capital markets transactions in Kenya and the region including initial public offers and secondary offers. She has also provided legal advice to investment banks, stockbrokers, fund managers, collective investment schemes and regulators in the Kenyan capital markets and advised on applications made to the Capital Markets Authority and capital markets regulations.

Nelly provides company secretarial services to listed and unlisted companies and ensures regulatory compliance of corporate entities.

Charity Kamunya

Charity is an Associate at the firm. She is a graduate of the University of Nairobi and the Kenya School of Law and holds a Bachelor of Laws degree and a Diploma in Law respectively. She also has CPA Part II qualifications. She began her legal practice at International Justice Mission in 2005. Mrs. Kamunya then joined Deloitte & Touche in 2007 where she practiced tax until June 2011.

Charity specializes in tax compliance and advisory services particularly in corporate, personal and indirect tax matters. She is charged with carrying out tax due diligence reviews, tax trainings and seminars as well as tax compliance reviews. She also handles tax planning in the framework of corporate restructuring and launching of client products, review of Kenya Revenue Authority (KRA) audit findings, responding to KRA audits, lodging objections and appeals and general tax compliance matters.

Kevin Junior Mutulis

Kevin Junior Mutulis is an Associate at the Firm. He is a graduate of the University of Nairobi and holds a Bachelor of Laws degree and a Diploma in Law from the Kenya School of Law

He is in the Commercial and Corporate Practice Group and the Real Estate and Banking Practice Group. He has assisted in various commercial transactions including the carrying out of several due diligence transactions, protection of intellectual property, corporate reorganizations and separation of businesses, and the incorporation of companies both limited by shares and by Guarantee. He has also been involved in the review of various commercial agreements. In conveyancing, he has been involved in various transactions involving the registration of mortgages, charges debentures and other security documents, the drafting of various security documents and the perfection of the same.

Nyambura Karita

Nyambura Karita is an Associate at the Firm. She is a graduate of the University of Nairobi and holds a Bachelor of Laws Degree and a Diploma in Law from the Kenya School of Law. She also holds a Part 3 ACCA qualification and is currently pursuing a Masters in Law (LL.M) from Kings College London.

She is in the Commercial and Corporate and the Company Secretarial practice groups. Nyambura has advised a varied range of corporate and individual clients and her present areas of practice include Capital Markets, conducting legal due diligence exercises, advising on corporate reorganisation, preparation of tenders, incorporation of companies in several African countries, registration of various business entities, advising on corporate compliance and immigration matters, registration of trade marks and assignment of intellectual property, drafting and reviewing agreements and contracts, and advising on anti-corruption practice in Kenya. She has also engaged in trade marks litigation, the preparation of legal audit reports, legal research and legislative review.

Robert Muthuri

Robert Muthuri is an Associate at the firm. He is a graduate of Moi University and holds a Bachelor of Laws degree.

He also holds a diploma in Business Information Technology from Strathmore University.

His present areas of practice comprise of company secretarial work, civil litigation, legislative review, legal research and legal due diligence.

 

Sylvia Kang’ethe

Sylvia Kang’ethe is an Associate at the firm. She is a graduate of the University of Nairobi and holds a Bachelor of Laws degree. She is also a finalist of the Certified Public Accountants Course.

Peter Okaalet Jr.Peter Okaalet Jr. is an Associate at the firm. He is a graduate of the University of Pretoria and holds a Bachelor of Laws degree.

His present areas of practice comprise of Company Secretarial Services, Commercial Litigation and Dispute Resolution, Real Estate and Banking and Commercial and Corporate Practice.
